Millicent is a seasoned and versatile attorney with extensive litigation, employment, executive compensation, intellectual property, healthcare and corporate experience.  She counsels her clients on the day-to-day as well as the more intricate aspects of operating a business including issues of corporate formation and governance, funding alternatives, routine and complex employee matters, protection of intellectual property, regulatory approvals and compliance, strategic business opportunities and alliances as well as potential disputes and liability.  Millicent also reviews and negotiates complex and routine agreements including employment agreements, non-compete agreements, sales agreements, agreements for clinical trials, license agreements, funding agreements, vendor agreements, joint venture agreements and other corporate transactional agreements.  Millicent also drafts executive compensation and benefit plans such as incentive equity compensation, sales compensation and acquisition bonus plans.  Finally, if necessary, Millicent can also litigate on her client's behalf, having successfully defended or prosecuted dozens of employment law, commercial and IP cases through jury trials, bench trials and arbitrations.  She essentially partners with her clients, acting as the general counsel for those companies with or without an inside legal team, either drawing from her own extensive experience and expertise or coordinating with others from within or outside the firm.

Prior to joining the firm, Millicent was the General Counsel and Corporate Secretary of Comprehensive Care Corporation, a managed behavioral healthcare company, where she was responsible for all the legal affairs of the company, including transactional, contracts, regulatory, human resources and litigation.  Prior to working in house, Millicent practiced on all three coasts, being admitted to the bars of California, New York and Texas.  She represented start-up, emerging growth and mid-size companies in the life sciences, healthcare and technology industries.
