Jody focuses his practice on corporate law, mergers, acquisitions and divestitures, private securities issuances, and related transactions in the context of a broad range of industries including energy, technology, life sciences, and others.
 
Jody assists small and large companies, private equity and venture capital firms, and other corporate clients in connection with a broad variety of matters.  Jody’s private equity and venture capital experience includes fund formation, majority and minority investments by fund clients in portfolio companies (including by way of leveraged buyouts) and related private issuances of common and preferred securities, and add-on acquisitions by portfolio companies.  In addition, Jody assists privately and publicly held companies in negotiating and consummating stock and asset purchase and sale transactions, the subject matter of which ranges in scope from discrete business units to large integrated industrial plant facilities located in multiple jurisdictions.
 
Jody also assists clients in connection with entity formation, negotiation of partnership agreements, investors agreements, stock designations, equity incentive plans, employment agreements, supply, services, and other operational agreements, real property conveyances and leases, and secured lending facilities as well as advising on corporate restructurings, private offerings to new investors, and limited offering exemptions under the securities laws.
